Terms of Service

1. Introduction

Welcome to KCShip LLC ("KCShip," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our third-party logistics (3PL) fulfillment services, including warehousing, inventory management, order fulfillment, and shipping services (collectively, the "Services").

By creating an account, depositing funds, or using any of our Services, you ("Customer," "you," or "your") agree to be bound by these Terms, our Privacy Policy, Service Level Agreement (SLA), Refund and Returns Policy, and Prohibited Items Policy (collectively, the "Agreement").

2. Account Activation and Eligibility

2.1 Account Creation

To use KCShip's Services, you must create an account through our customer portal. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

2.2 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Services Provided

3.1 Warehousing and Storage

KCShip provides secure warehousing facilities for your inventory. Storage fees are charged monthly based on the volume of space occupied by your goods.

3.2 Order Fulfillment

We pick, pack, and ship orders on your behalf. Fulfillment fees are charged per order processed and may include additional charges for special handling or packaging requirements.

3.3 Inbound Receiving

We receive and process incoming shipments of your inventory. Receiving fees are charged per pallet or shipment received.

3.4 Inventory Management

Our customer portal provides real-time visibility into your inventory levels, order status, and transaction history.

4. Pricing and Billing

4.1 Pricing Structure

Our pricing is detailed on our Pricing page and includes:

  • Storage fees: Charged monthly based on cubic feet or pallet positions occupied
  • Fulfillment fees: Charged per order shipped
  • Receiving fees: Charged per pallet or shipment received
  • Long-Term Storage (LTS) fees: Additional charges for inventory stored beyond 180 days

4.2 Wallet System

All services are prepaid through your KCShip wallet. You must maintain a positive balance to continue using our Services. Fees are automatically deducted from your wallet balance as services are rendered.

4.3 Deposits and Top-Ups

Initial deposits and subsequent top-ups can be made via credit card, debit card, or ACH transfer through our secure payment processor, Stripe. All payments are subject to our Refund and Returns Policy.

4.4 Low Balance Notifications

We will notify you when your wallet balance falls below a threshold amount. If your balance reaches zero, we reserve the right to suspend services until your account is funded.

5. Prohibited Items

KCShip will not store, handle, or ship certain categories of goods as detailed in our Prohibited Items Policy. You agree not to send us any prohibited items. Violation of this policy may result in immediate termination of services and forfeiture of your inventory.

6. Liability and Insurance

6.1 Our Liability

KCShip exercises reasonable care in handling your inventory. However, our liability for loss or damage to your goods is limited to $0.60 per pound per article, unless you purchase additional insurance coverage.

6.2 Your Insurance

We strongly recommend that you maintain your own insurance coverage for your inventory. KCShip is not responsible for losses due to fire, theft, natural disasters, or other events beyond our reasonable control.

6.3 Limitation of Liability

In no event shall KCShip be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or related to your use of our Services.

7. Dispute Resolution

7.1 Claims Process

If you believe your inventory has been lost or damaged, you must file a claim through our customer portal within 30 days of the incident. Claims must include detailed documentation and evidence of the loss or damage.

7.2 Arbitration

Any disputes arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

7.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

8. Termination

8.1 Termination by You

You may terminate your account at any time by providing 30 days' written notice. Upon termination, you must arrange for the removal of your inventory from our facilities. Any remaining wallet balance will be refunded according to our Refund and Returns Policy.

8.2 Termination by Us

We reserve the right to terminate your account immediately if you violate these Terms, fail to maintain a positive wallet balance, or engage in fraudulent or illegal activities.

8.3 Effect of Termination

Upon termination, you remain responsible for all outstanding fees and charges. If you fail to remove your inventory within 30 days of termination, we may dispose of it and charge you for storage and disposal costs.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our customer portal. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.
